NeuralOps End-User License Agreement (EULA)

This End-User License Agreement ("EULA") is a legal agreement between you, either an individual or a single entity (the "Licensee" or "You"), and NeuralOps ("Licensor" or "We") for the NeuralOps software product, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation (the "Software").

By installing, copying, accessing, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install, copy, access, or use the Software.

1. Grant of License

Subject to the terms and conditions of this EULA, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices owned or controlled by you or your organization, solely to monitor employee activity as described in the accompanying documentation and Privacy Policy. This license is granted solely for internal business purposes and not for resale or further distribution.

2. Data Collection and Privacy

You acknowledge that the Software collects specific data related to employee activity, including keyboard clicks (not content), mouse movements, and screenshots, as further detailed in the NeuralOps Privacy Policy. By using the Software, you agree to the collection and use of this data following our Privacy Policy.

It is your responsibility as the Licensee to ensure that you have obtained all necessary consents and provided all required disclosures to your employees regarding the monitoring activities performed by the NeuralOps Software, in compliance with all applicable local, national, and international laws and regulations.

3. Restrictions on Use

You agree not to, and you will not permit others to:

  • a) Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Software, except and only to the extent that such activity is expressly permitted by applicable law, notwithstanding this limitation.

  • b) Modify, adapt, translate, or create derivative works based on the Software.

  • c) Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software to any third party, except as expressly permitted by this EULA.

  • d) Use the Software for any illegal, unauthorized, or unethical purpose, or in any manner that violates any applicable laws or regulations.

  • e) Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Software or any documentation.

  • f) Use the Software to collect data in a manner that violates the privacy rights of individuals or applicable data protection laws without proper consent and disclosure.

  • g) Circumvent or disable any security or technological features of the Software.

4. Intellectual Property

The Software and all intellectual property rights therein, including but not limited to copyrights, patents, trademarks, and trade secrets, are and shall remain the sole and exclusive property of NeuralOps and its licensors. This EULA grants you only a limited license to use the Software and does not transfer any ownership rights.

5. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU ASSUME ALL RISKS ASSOCIATED WITH THE USE OF THE SOFTWARE.

6. Limitation of Liability

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SOFTWARE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SOFTWARE; (III) ANY CONTENT OBTAINED FROM THE SOFTWARE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

THE LICENSOR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO THIS EULA OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. Indemnification

You agree to defend, indemnify, and hold harmless NeuralOps and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Software, including any data transmitted or received by you; b) your breach of any terms of this EULA; c) your violation of any third-party rights, including without limitation any right of privacy or intellectual property rights; d) your violation of any applicable law, rule, or regulation; or e) any claim or damages that arise as a result of any of your content or any content that is submitted via your account.

8. Termination

This EULA is effective until terminated by you or the Licensor.

  • You may terminate this EULA at any time by ceasing all use of the Software and destroying all copies of the Software in your possession.

  • The Licensor may terminate this EULA immediately without prior notice if you fail to comply with any provision of this EULA.

  • Upon termination, you must cease all use of the Software and destroy all copies of the Software. Sections 3, 4, 5, 6, 7, 9, 10, and 11 shall survive any termination of this EULA.

9. Governing Law

This EULA shall be governed and construed by the laws of the State of California, USA, without regard to its conflict of law provisions.

10. Severability

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions of this EULA will remain in full force and effect.

11. Entire Agreement

This EULA constitutes the entire agreement between you and NeuralOps regarding the use of the Software and supersedes all prior and contemporaneous written or oral agreements between you and NeuralOps.
